1. Acceptance of Terms

By accessing, browsing, or using the website, products, or services of D-gate Integrated Services (“D-gate”, “Dgateis”, “we”, “our”, or “us”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions, along with our Privacy Policy. If you do not agree to these terms, you must discontinue use of our website and services immediately.

2. Scope of Services

D-gate Integrated Services is a branding, design, web development, and digital marketing agency. Our services may include, but are not limited to brand strategy, logo and identity design, UI/UX design, website and application development, SEO, performance marketing, social media marketing, content creation, automation, analytics, and consulting services. The exact scope, deliverables, timelines, and pricing will be defined in a written proposal, quotation, or agreement mutually accepted by both parties.

3. Client Responsibilities

Clients agree to provide accurate, complete, and timely information, materials, approvals, and feedback necessary for the execution of services. Delays caused due to incomplete inputs, late approvals, or change in requirements may impact delivery timelines and costs. D-gate shall not be held responsible for such delays or resulting outcomes.

4. Payments, Fees & Taxes

All fees for services are payable as per the agreed proposal or contract. Unless otherwise stated, fees are non-refundable once work has commenced. Late payments may attract suspension of services and/or additional charges. All applicable taxes, duties, or government levies shall be borne by the client as per Indian law.

5. Revisions & Change Requests

Any revisions or change requests beyond the agreed scope may incur additional costs and revised timelines. Significant changes in project direction after approval may require a new agreement or addendum. D-gate reserves the right to evaluate and price such changes separately.

6. Intellectual Property Rights

Unless otherwise agreed in writing, all original designs, code, strategies, creatives, and materials created by D-gate remain the intellectual property of D-gate until full payment is received. Upon receipt of complete payment, ownership or usage rights may be transferred to the client as defined in the agreement. D-gate retains the right to showcase completed work in its portfolio, case studies, and marketing materials unless explicitly restricted in writing.

7. Third-Party Tools & Platforms

Our services may involve third-party platforms, tools, hosting providers, ad networks, APIs, or software (such as Google, Meta, AWS, CMS platforms, or analytics tools). D-gate is not responsible for changes, outages, policy updates, or performance issues caused by third-party services. Clients agree to comply with the terms and policies of such third-party providers.

8. Performance & Results Disclaimer

While we apply industry best practices and strategic expertise, D-gate does not guarantee specific results such as rankings, traffic, leads, sales, or revenue. Marketing and digital outcomes are influenced by multiple external factors beyond our control. All services are provided on an “as-is” and “as-available” basis.

9. Confidentiality

Both parties agree to maintain confidentiality of proprietary, business, technical, and strategic information shared during the course of engagement. This obligation shall survive termination of services, except where disclosure is required by law.

10. Limitation of Liability

To the maximum extent permitted by law, D-gate Integrated Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or reputation, arising from the use or inability to use our website or services, even if advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless D-gate Integrated Services, its directors, employees, and partners from any claims, damages, liabilities, costs, or expenses arising out of your misuse of the services, violation of these Terms, or infringement of any third-party rights.

12. Termination of Services

Either party may terminate services as per the terms defined in the agreement. D-gate reserves the right to suspend or terminate access to services or the website without notice in case of non-payment, breach of terms, unlawful activities, or misuse of services.

13. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. The courts of India shall have exclusive jurisdiction over any disputes arising out of or related to these terms or our services.

14. Changes to Terms

D-gate Integrated Services reserves the right to update or modify these Terms & Conditions at any time without prior notice. Continued use of the website or services after changes are posted constitutes acceptance of the revised terms.
